Terms of Service — Skein AI agents for small businesses

These Terms of Service ("Terms") govern your access to and use of Skein, including the website at skein.team, our applications, APIs, and related services (collectively, the "Service"), provided by Tailoredu ("Skein," "we," "us," "our").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Skein. By using the Service, you represent that you are at least 18 and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Your Account

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately at support@skein.team if you suspect unauthorized access
Providing accurate and complete information when creating your account

We may suspend or terminate accounts that violate these Terms, are inactive for extended periods, or are used in ways that could harm Skein, our other users, or third parties.

3. The Service

Skein provides AI-powered software agents ("Agents") that perform tasks on your behalf based on instructions you provide. Agents use third-party AI models (currently Anthropic's Claude) and may integrate with third-party services (e.g., Google Workspace) with your explicit consent.

Agent outputs

Agent outputs are AI-generated and may contain errors, omissions, or content that does not reflect facts. You are responsible for reviewing all Agent outputs before relying on them or sending them to third parties. We do not guarantee the accuracy, completeness, timeliness, or appropriateness of any Agent output.

Specifically, you should:

Review drafted emails, messages, and other communications before sending
Verify factual claims, dates, names, and figures
Confirm calendar events and appointments before they take effect
Not rely on Agent outputs for medical, legal, financial, or other professional advice

Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service may be unavailable for maintenance, updates, or due to factors beyond our control.

4. Subscriptions and Billing

Plans and pricing

The Service is offered on subscription plans (currently Starter, Pro, and Team) with different features and usage limits. Current pricing is available at skein.team/pricing.

Billing

Subscription fees are billed monthly in advance through Stripe
Charges renew automatically at the end of each billing cycle
All prices are in U.S. Dollars unless otherwise stated
You authorize us to charge your payment method for all subscription fees and applicable taxes

Usage limits

Each plan includes specific usage limits (e.g., monthly token caps, number of agents). Exceeding your plan's limits may result in degraded service, feature restrictions, or required upgrades. We will notify you when you approach your limits.

Cancellation and refunds

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal
Cancellation takes effect at the end of your current billing period; you retain access until then
We do not offer refunds for partial billing periods unless required by law
We may offer pro-rated refunds in our sole discretion (e.g., for service outages)

Price changes

We may change pricing with at least 30 days' notice. Changes apply at your next billing renewal.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any law
Send spam, phishing, or unsolicited bulk communications via Skein Agents
Use the Service to harass, defame, or impersonate any person or entity
Upload or process personal information of others without their consent
Attempt to extract, reverse-engineer, or replicate the underlying AI models or system prompts
Probe, scan, or test the vulnerability of the Service or attempt to bypass security measures
Use automated tools to access the Service in ways not provided by our official APIs
Resell, sublicense, or redistribute access to the Service without our written permission
Use the Service to develop a competing product
Interfere with other users' use of the Service

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your Content

Ownership

You retain ownership of all content you submit to the Service ("Your Content"), including conversation messages, agent configurations, and integration data.

License to us

You grant us a limited, non-exclusive, royalty-free license to use Your Content solely to:

Provide and improve the Service
Process Your Content through our AI providers (e.g., Anthropic) to generate Agent responses
Display Your Content back to you in your account

We do not use Your Content to train AI models. Our AI providers (currently Anthropic) operate under agreements that prohibit training on customer data.

Your responsibility for content

You represent that you have all necessary rights to the content you submit. You are solely responsible for the content you provide and the actions your Agents take on your behalf.

7. Intellectual Property

Our IP

Skein, including the website, software, design, branding, and all related intellectual property, is owned by Tailoredu or our licensors. These Terms do not grant you any rights to use our trademarks, logos, or other branding without separate written permission.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide license to use them without restriction or compensation.

8. Third-Party Services

Skein integrates with third-party services (e.g., Stripe for payments, Google for Calendar/Gmail, Anthropic for AI). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the actions or content of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
Agent outputs will be accurate, complete, or appropriate for any purpose
Defects will be corrected
The Service is free of viruses or harmful components

You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

This section applies even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages — in those cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Skein, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any law or third-party right
Content you submit to the Service
Actions taken by Agents on your behalf

12. Termination

You may terminate your account at any time by canceling your subscription and deleting your account through the Service.

We may suspend or terminate your account if:

You violate these Terms
Your account is inactive for an extended period
We are required to do so by law
We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ends immediately. We will retain or delete your data as described in our Privacy Policy.

Sections 6 (Your Content), 7 (IP), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Minnesota, without regard to conflict of laws principles.

Any dispute arising from or relating to these Terms or the Service will be resolved in the state or federal courts located in Hennepin Cty, MN, and you consent to personal jurisdiction in those courts.

15. Miscellaneous

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Skein regarding the Service.
Severability: If any provision is unenforceable, the rest remains in effect.
No waiver: Our failure to enforce any right does not waive that right.
Assignment: You may not assign these Terms without our written consent. We may assign them to an affiliate or successor.
Notices: We may send notices to the email address on your account. You may send notices to support@skein.team or our business address.
